Welcome to Interpretool. These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "User") and Interpretool ("we," "us," or "our") governing your access to and use of interpretool.com and our real-time transcription and translation service (collectively, the "Service").
By creating an account or using the Service you agree to these Terms in full. If you do not agree, do not use the Service.
1. Service Overview
Interpretool is a web-based assistant for professional telephone interpreters. It captures audio from a selected browser tab, transcribes it in real time using Deepgram's speech recognition API, and displays bilingual translations side by side. The Service is designed for use in Google Chrome on desktop computers and requires an active internet connection.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service you represent that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Service; and (c) your use of the Service complies with all applicable laws and regulations.
3. Accounts and Registration
You must create an account to use the Service. You agree to provide accurate and complete information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at hello@interpretool.com if you suspect unauthorized access to your account.
You may not share your account with others or create accounts on behalf of third parties without authorization.
4. Subscription Plans and Payment
4.1 Plans
We offer a free plan and paid subscription plans (Pro and Heavy). Each plan includes a monthly allocation of transcription minutes that resets at the start of each billing period. Current plan details and pricing are available at interpretool.com/#pricing.
4.2 Billing
Paid plans are billed monthly on a recurring basis through Stripe, Inc. All fees are stated in US Dollars and are non-refundable except as expressly provided in these Terms. By subscribing you authorize us to charge your payment method on a recurring basis until you cancel. We reserve the right to change pricing with at least 30 days' notice before the next billing period.
4.3 Add-on Minutes
You may purchase add-on minute packs at any time. Add-on minutes never expire and are consumed after your plan allocation is exhausted.
4.4 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access to paid features until then. We do not provide prorated refunds for partial billing periods.
4.5 Failed Payments
If a payment fails we will attempt to collect it for a period of time. If payment cannot be collected your account may be downgraded to the free plan and access to paid features may be suspended until payment is resolved.
5. Acceptable Use
By using the Service you agree not to:
- Use the Service for any illegal purpose or in violation of any applicable law or regulation.
- Record or transcribe conversations without the consent of all parties as required by applicable law.
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
- Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
- Use automated means (bots, scrapers) to access the Service at a rate that exceeds normal human use.
- Resell, sublicense, or otherwise commercialize access to the Service without our written consent.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Upload or transmit any virus, malware, or other malicious code.
- Use the Service to harass, threaten, or harm any person.
6. Recording Consent and Legal Compliance
Laws regarding the recording and transcription of conversations vary by jurisdiction. Many jurisdictions require all-party consent before recording a phone call. You are solely responsible for obtaining all necessary consents from all parties to any call you transcribe using the Service and for complying with all applicable recording and wiretapping laws. We are not responsible for your failure to obtain required consents.
If you use the Service in connection with medical, legal, or court interpreting, you are solely responsible for compliance with any regulations applicable to your profession or industry, including but not limited to HIPAA, attorney-client privilege, and court rules.
7. Intellectual Property
The Service, including its design, code, trademarks, and content, is owned by Interpretool and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose in accordance with these Terms.
You retain ownership of any transcription output you generate. We claim no intellectual property rights over your transcriptions or translations.
8. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully. In particular, note that audio is never stored on our servers — it is transmitted directly to Deepgram for transcription and discarded.
9. Third-Party Services
The Service relies on third-party providers including Deepgram (speech-to-text), Microsoft Azure (translation), and Stripe (payments). We are not responsible for the availability, accuracy, or acts or omissions of these third-party services. Use of these services is subject to their respective terms and privacy policies.
10. Service Availability
We will make commercially reasonable efforts to keep the Service available. However, we do not guarantee uninterrupted or error-free operation. We may suspend or modify the Service at any time for maintenance, upgrades, or other operational reasons. We will attempt to provide advance notice of planned downtime where feasible.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT TRANSCRIPTIONS AND TRANSLATIONS WILL BE ACCURATE OR COMPLETE.
TRANSCRIPTION AND TRANSLATION ARE PRODUCED BY AUTOMATED SYSTEMS AND ARE NOT GUARANTEED TO BE ACCURATE. DO NOT RELY SOLELY ON SERVICE OUTPUT FOR MEDICAL, LEGAL, OR OTHER HIGH-STAKES DECISIONS WITHOUT INDEPENDENT VERIFICATION.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL INTERPRETOOL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES) ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
13. Indemnification
You agree to defend, indemnify, and hold harmless Interpretool and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your failure to obtain required consents from call participants.
14. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may close your account at any time from your account settings. Upon termination your license to use the Service ends immediately. Sections 7, 11, 12, 13, and 15 survive termination.
15. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada, or in the courts of Ontario if arbitration is not applicable. You waive any right to participate in a class action lawsuit or class-wide arbitration.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after updated Terms take effect constitutes your acceptance.
